SUMMARY OF DUTIES: 
This position leads a team responsible to negotiate and maintain more than 300 agreements with host railroads nationally, representing more than $150M, including (i) long-term operating agreements, (ii) liability and service agreements, (iii) station, track and facility leases, (iv) reimbursement and construction agreements, and (v) performance incentive and penalty agreements.  The team ensures uniform application and interpretation of these host railroad agreements and federal and state statutes with regard to Amtrak operations on 30 host railroads, with the particular emphasis on minimizing the cost of Amtrak operations on host railroads.  The team also manages the business relationship with the six freight railroads that operate on Amtrak-owned rail lines, representing more than $28M, including negotiating and maintain operating, construction, service and reimbursement agreements.   This position is an acknowledged expert in the terms and provisions of Amtrak’s various host railroad agreements, the Rail Passenger Service Act, related arbitration and litigation facts and decisions, and Surface Transportation Board and Federal Railroad Administration activities related to Amtrak’s host railroads.  This position collaborates with multiple Amtrak departments and external stakeholders including Commercial, Law, Government Affairs, Engineering, Real Estate, Planning, State Contracts, Finance, federal agencies, cities and state departments of transportation.

 

ESSENTIAL FUNCTIONS:
• Direct complex negotiations, including development of related cost and operating analyses, to achieve the highest levels of host railroad service at the lowest cost to Amtrak.  
• Direct all operations of team responsible for negotiating and maintaining Amtrak agreements with host railroads including services, costs, performance, liability and payment terms for Amtrak train operations on host railroads, and for freight railroad operations on Amtrak rail lines.  Set team goals to align with corporate objectives.
• Direct implementation of collaborative initiatives with cross-functional Amtrak, host railroad, federal and state agencies to implement new or modified services on host railroad infrastructure.
• Direct development and maintenance of host railroad agreement data and databases to facilitate proper audit of host railroad invoices, to permit prompt response to Congressional. Regulatory and Commercial inquiries.
• Use in-depth knowledge of the freight rail industry and industry trends, Amtrak operations, and legal framework and contractual agreements governing Amtrak’s host railroad relationships to reduce costs wherever possible, while ensuring contract compliance, safety, and high levels of performance for Amtrak trains operating on host railroads.  Formulate and communicate related strategy recommendations to senior and executive management. 
•Interface with STB, FRA, state and federal agencies, and other external stakeholders with respect to Amtrak’s relationship with host railroads, and the various agreements governing same.  Develop and lead implementation of strategies to engage these stakeholders in advancing Amtrak and partner objectives.
• Direct responses to host railroad requests for changes to host railroad agreements and leases.
• Develop litigation strategies and objectives in collaboration with General Counsel and direct litigation support activities related to host railroad payments, services, compliance and liability.  Review/analyze legal documents and expert witness testimony as necessary.  
• Negotiate agreements in support of grant funding with host railroads, and support Business Unit grant initiatives as necessary.
• Develop and draft contract language for incorporation into host railroad operating agreements, to achieve Amtrak’s corporate objectives.
• Mentor staff, including working with staff to create and implement career development plans.  Implement succession planning activities.
• Create and estimate costs and impacts of projects on host railroads.
• Ensure uniform interpretation and application of operating agreement and statutory provisions.
• Direct development of capital and operating budgets for Amtrak services on host railroads, including regular dissemination of information regarding performance to and variance from budget. 
• Assist other Amtrak departments in communicating and coordinating with host railroads. 
• Perform other related duties as assigned.

 

MINIMUM QUALIFICATIONS: 
• At least 10 years of professional experience.
• Bachelors or equivalent degree. 
• Expertise with Microsoft Office Suite (i.e. Excel, Word, and PowerPoint) computer software and applications.
• Strong analytical capabilities, bolstered by a thorough understanding of rail operations and economics, contract law and dispute resolution processes.
• Strong oral and written communication skills necessary to obtain, both inside and outside of Amtrak, the information and cooperation necessary to negotiate and administer host railroad agreements that will assist Amtrak in meeting its corporate objectives.
• Ability to use persuasion and leverage to achieve Amtrak objectives in conjunction with host railroads over which this position has no direct authority, within time and budget constraints.
• Sound business judgment and outstanding negotiating skills, including ability to resolve disputes while maintaining good relationships.
• Advanced leadership and management skills with a proven ability to motivate and develop others; effective writing, presentation, meeting, and interview facilitation skills; interpersonal communication; time management; and conflict resolution and investigation skills.
• In-depth knowledge of the freight and commuter rail industry and industry trends, Amtrak operations, and legal framework and contractual agreements governing Amtrak’s host railroad relationships, including the Rail Passenger Service Act, arbitration and litigation facts and decisions, and Surface Transportation Board (STB) and Federal Railroad Administration (FRA) activities.  Demonstrated experience communicating orally and in writing within the corporation and externally. 
• Responsive to requests of others to ensure a Host Railroad Group reputation for high-quality service to internal and external Amtrak customers.
• Ability to travel 30%.

 

PREFERRED QUALIFICATIONS: 
• Masters degree in business discipline or Law degree.
• Experience working with or for host railroads; familiarity or experience with host railroad operations and economics.
• Experience in negotiating, implementing and interpreting agreements with host railroads, and/or in contract administration.
• Knowledge and experience with Contract, Real Property, and other relevant law, including Federal law pertaining to railroads, transportation, and grants.
